Return Material Authorization (“RMA”) Agreement
Terms & Conditions

This Return Material Authorization Agreement (herein "Agreement") is made between AEI Intelligent Technologies (herein "AEI"), and you, or the organization with whom you represent (“Customer”).  This Agreement shall become Effective upon the date of submission of this RMA Request Form.

  1. No refunds, credits or exchanges unless previously authorized by an Evaluation Agreement signed by a duly authorized AEI Intelligent Technologies, Inc. Officer.  Absolutely no refunds, credits or exchanges after 30 days from date of shipment. All sales are final after this period.

    i.  AN RMA REQUEST DATE IS SET UPON AEI’S RECEIPT OF ALL PAGES OF THIS DOCUMENT, FULLY COMPLETED. FAILURE TO FULLY AND ACCURATELY COMPLETE MAY RESULT IN DELAY AND DISQUALIFICATION OF YOUR RETURN REQUEST. 
     
  2. INELIGIBLE FOR RETURN:
    Product that has been misused/abused/modified by Customer, discontinued product, custom manufactured product, and product damaged in shipment are not eligible for return. This determination shall be governed as set forth in Section 5 of this Agreement.
     
  3. RMA NUMBER:
    No return or repair can be made without a RMA number. AEI reserves the sole right to issued RMA numbers. No authorization shall exist until Customer is provided a RMA number from authorized AEI personnel.
     
  4. SHIPPING:
    i. Missing Contents: Customer shall return product in its original container with all manuals, electronic media, cables, etc. Otherwise, a "Repackaging Fee" (minimum of $10) maybe assessed upon AEI's acceptance of returned product. Customer likewise agrees to pay this fee upon receipt of invoice.

    ii. Packaging. Customer shall use the original or equivalent packaging, and in accordance with UPS standards as regards to electronic components. Customer agrees to provide adequate freight insurance to protect against loss and damage in transit.

    iii. Shipping Expense. Customer shall PREPAY all shipments to AEI. AEI pays for all return US Domestic shipments to the customer via UPS Ground or cheapest method AFTER product has been Accepted (Section 5) by AEI. INTERNATIONAL SHIPMENTS, UNLESS OTHERWISE INDICATED, CUSTOMER ALSO PAYS FOR RETURN SHIPPING.

    iv. Special Requirements. Customer pays for expedited shipments, or shipments of advance replacements... if requested.

    v. Refunds, credits, and exchanges are exclusive of any shipping charges.
     
  5. ACCEPTANCE:
    All return product is subject to AEI audit acceptance.

    i. At AEI's sole discretion, if AEI makes the determination of "Missing Contents" (Section 4i), Customer agrees to pay said Repackaging Fee (Section 4i),

    ii. At AEI's sole discretion, if AEI makes the determination of "Partial or Incomplete Shipment" (Section 10), Customer agrees to pay AEI for the full invoiced amount, and that stipulated in Section 10.

    iii. At AEI’s sole discretion, if AEI makes the determination that product authorized for return is “ Ineligible” (Section 2); Customer agrees to pay AEI for the full invoiced amount, and that stipulated in Section 10.
     
  6. OUT OF WARRANTY REPAIR
    1. REQUEST -
      Any customers interested in an Out of Warranty Repair must complete this form.  Upon RMA authorization, customer to ship defective product to AEI for inspection, along with a purchase order for Inspection and Diagnostics.
       
    2. INSPECTION -
      Customer is responsible for a $150 Inspection and Diagnostics charge for each defective product.  AEI will inspect defective product, and will make a good faith estimate for the cost of repair.  Time and materials for most simple repairs are covered under the aforementioned “Inspection and Diagnostic” charge [Also ref. 6(iii) below].  Customer must authorize all repairs in excess of this $150 charge “in writing” prior to commencement of repair work.
       
    3. REPAIR
      As applicable, time and materials will be billed, with a minimum charge for "out-of-warranty" repair of $150 per product [Ref. 6(ii)].    Customer is responsible for all authorized repair charges, regardless if additional repairs are needed in order for the product to perform correctly.  IF additional repairs are required, AEI will again make another good faith estimate for any additional charges.  
       
    4. UN-REPAIRABLE or PROHIBITIVE COST -
      If the product is deemed "un-repairable" or if the cost of the repair is prohibitive, then the customer may chose to either have the product shipped back to them at the customer's expense, or allow AEI to scrap the product themselves.  Regardless, customer is responsible for the above referenced Inspection and Diagnostics charges [Ref. 6(ii)], and any additional time and material repair charges so authorized by the customer.
       
    5. FINAL TEST - 
      Prior to any repaired product leaving the factory, AEI will perform firmware upgrades and full functional testing of the product.
       
  7. RESTOCKING CHARGE
    All sales are final.  However, in the rare event a return for credit, refund or exchange is authorized, a restock fee of up to 25% will be assessed for all returned products.
     
  8. EXPIRATION
    RMA authorization is valid for a period of thirty (30) days from date RMA Number is issued, whether written or verbal.
     
  9. DOCUMENTATION
    All paperwork and shipping documents must prominently reference the issued RMA number. Shipments not prominently displayed with the RMA number are subject to return.
     
  10. PARTIAL or INCOMPLETE SHIPMENTS
    In accordance with Section 5iii, AEI shall perform a manual count/audit of product authorized for return. Any shortage of product authorized for return, Customer agrees that full credit will not be issued to partial or non-complete shipments, and Customer further agrees they shall make immediate payment to AEI for any missing product.
     
  11. COLLECTION FEES, OTHER CHARGES & MISCELLANEOUS LEGAL
    i. Customer agrees to pay a FINANCE CHARGE at a PERIODIC RATE of one and one half percent (1 ½ %) per month (18% per annum) simple interest, or maximum allowable by law, whichever is less, on invoiced amounts thirty (30) days or more past due.

    ii. If Customer's failure to pay, or slow pay, causes this account to be assigned or referred to a collection agency or attorney, Customer agrees to pay AEI’s reasonable collection and/or attorney fees, court costs, travel and all other reasonable miscellaneous expenses.  This clause shall also include RMA disputes.

    iii.  Modifications.  This Agreement is subject to change at AEI Intelligent Technologies' sole discretion, anytime, without advance notification, and retroactive back to the Effective date of this Agreement.

    iv. This Agreement shall be governed by the laws of the United States of America, State of California, County of Riverside. You hereby agree to personal jurisdiction in any of the state or federal courts in that county. AEI, its attorney or collection agency may choose or approve alternative jurisdiction at its sole discretion, and you subsequently agree to personal jurisdiction in any alternatively chosen forum.
     
  12. AUTHORIZATION
    By submitting this form to AEI Intelligent Technologies for processing, you explicitly agree to bind you or your company to these terms & conditions, and subsequently warrant, under penalty of perjury, that you are authorized to do so on your company's behalf.
